1. Agreement to Terms

These Terms govern your use of the Gephra Sustaina marketplace operated by Gephra Ltd ("we", "us", "our"). By registering, browsing, selling, or purchasing through the platform, you agree to comply with these Terms. If you do not agree, please stop using the platform.

2. Nature of the Marketplace

Gephra Sustaina is a multi-vendor marketplace that connects buyers and vendors of sustainable products and services.

• •We are not the manufacturer of most products sold on the platform
• •Vendors are responsible for product information, pricing, availability, certifications, and legal compliance
• •We facilitate orders, payments (when enabled), and communication but are not a party to transactions between vendor and buyer

3. Eligibility

To use the marketplace, you must:

• •Be at least 18 years old
• •Provide accurate information
• •Have legal capacity to enter agreements
• •Register as a business or individual using correct identity details

Accounts may be suspended for fraud, false information, or platform misuse.

4. Account Responsibilities

You are responsible for:

• •Keeping login credentials secure
• •Actions taken under your account
• •Maintaining updated information

Sharing login details is prohibited except through approved Team access invitation features.

5. Vendor Responsibilities

Vendors agree to:

• •Provide accurate product information
• •Honour pricing and promotions
• •Fulfil accepted orders
• •Comply with tax, export, and sustainability laws
• •Avoid misleading claims or counterfeits
• •Maintain inventory accuracy
• •Deliver within described timelines

We may suspend or remove vendors that violate platform standards.

6. Buyer Responsibilities

Buyers agree to:

• •Provide complete and correct order details
• •Pay all due charges when payments launch
• •Comply with destination import regulations
• •Not misuse RFQ, messaging, or negotiation tools

7. Sustainability Claims & LCA

Any sustainability statements, LCA data, or certifications must be truthful. False environmental claims may result in account removal.

8. Orders, RFQs & Transactions

Order flow may include:

• •Request for Quotation
• •Negotiation
• •Order confirmation
• •Shipment & delivery
• •Refund/Dispute processes (when active)

Until automated payments launch, some orders may involve offline settlement. Gephra is not responsible for losses caused by direct seller-buyer arrangements outside the platform.

9. Subscription & Fees

Vendors using paid subscription plans agree to pay:

• •Monthly subscription fees
• •Applicable commissions
• •Taxes or transaction costs

Failure to pay may lead to account suspension.

10. Taxes & Duties

Buyers and vendors are responsible for:

• •Local VAT, GST, customs, and import fees
• •Providing tax IDs when required

Gephra may calculate tax estimates but does not guarantee accuracy.

11. Intellectual Property

All trademarks, designs, and platform content belong to Gephra Ltd.

Users must not copy, scrape, modify, or resell platform code or design.

12. Prohibited Conduct

Users may not:

• •Upload illegal or harmful content
• •Harass or scam others
• •Upload malware or try to hack the system
• •Misrepresent identity or sustainability claims
• •Use automated scraping tools
• •Circumvent payments to avoid platform fees

13. Disclaimers

Gephra provides the platform "as is." We do not guarantee:

• •Continuous platform uptime
• •Accuracy of listings
• •Shipping times
• •Vendor behaviour
• •Product quality

We are not liable for damages arising from vendor or buyer actions.

14. Limitation of Liability

To the maximum extent allowed by law, Gephra Ltd will not be responsible for:

• •Lost profits
• •Business interruption
• •Data loss
• •Third-party misconduct
• •Delayed deliveries
• •Damages from reliance on vendor content

Total liability will not exceed the fees paid to Gephra within the previous 6 months.

15. Account Termination

We may suspend or terminate accounts that:

• •Violate these Terms
• •Abuse sustainability claims
• •Harm buyers or vendors
• •Fail KYC verification
• •Act fraudulently

Users may close their accounts anytime.

16. Third-Party Links

External links are provided for convenience only. We are not responsible for external websites or policies.

17. Governing Law

These Terms are governed by the laws of Rwanda unless specified otherwise for international disputes.

18. Updates to Terms

We may modify these Terms from time to time. Continued use of the platform indicates acceptance of updated Terms.
